1.1 The website neural-pixels.com (the “Site”) is operated by MEDIA FOR YOU LTD (“we”, “us”, “our”).

2. Scope and Acceptance of Terms

2.1 These Terms apply to one‑off purchases of digital goods (AI‑generated images and related digital files) and one‑off purchases of token packs providing credit-based access to our image-generation module (collectively, the “Products”).
2.2 No subscriptions are offered on the Site. All purchases are single, non-recurring transactions.
2.3 By placing an order or using the Site, you agree to these Terms. If you do not agree, do not use the Site or purchase Products.

3. Eligibility and Accounts

3.1 You must be legally capable of entering into contracts in your place of residence.
3.2 Where an account is used, you are responsible for maintaining the confidentiality of your credentials and for any activity under your account.

4. Products: AI‑Generated Digital Content and Token Packs

4.1 Digital Artworks: We offer AI‑generated images and related digital files delivered electronically.
4.2 Token Packs: We sell one‑off credit packs (“Tokens”) that can be redeemed for access/usage of our image‑generation module. Tokens are not subscriptions and do not auto‑renew.
4.3 We may update, improve, or discontinue specific Products at any time to enhance quality or user experience.

5. Ordering, Pricing, Taxes, and Currency

5.1 By submitting an order, you make an offer to buy Products in accordance with these Terms. We may accept or decline any order at our discretion.
5.2 Prices are shown on the Site and may change from time to time. Obvious pricing errors are not binding; we will contact you for instructions or cancel the order and refund any payment.
5.3 Accepted settlement currencies: USD, EUR, AUD, CAD. Currency availability may vary by region and payment method.
5.4 Prices may be inclusive or exclusive of taxes depending on the jurisdiction and product type; any applicable taxes will be shown at checkout where required.

6. Payments (Pay‑In Only)

6.1 We accept one‑off payments via the methods shown at checkout. We do not accept cash or cheque payments.
6.2 You authorise us or our payment service providers to charge your selected payment method for the total order amount.
6.3 If your payment fails or is reversed, we may suspend or revoke access to the purchased Products until valid payment is received.
6.4 To protect users and our services, we may use automated systems to detect and prevent fraudulent transactions. If a transaction cannot be validated, we may decline or cancel it.

7. Digital Delivery and Access

7.1 Digital Artworks are delivered electronically, typically via download link or through your account library, shortly after successful payment.
7.2 Token Packs are credited to your account (where applicable) after successful payment. Tokens can then be redeemed for image‑generation actions within the module.
7.3 If delivery/access fails, please contact info@neural-pixels.com. We will assist with re‑delivery or provide alternative access where feasible.
7.4 No physical shipping is provided for any Product.

8. Licence Grant and Use Restrictions

8.1 Unless expressly stated otherwise on the product page, upon complete payment we grant you a non‑exclusive, worldwide, non‑transferable licence to use the purchased digital files for your own purposes, subject to these Terms.
8.2 Prohibited uses (unless expressly permitted in writing): resale or redistribution of the original files; claiming trademark or exclusive rights in the outputs; any unlawful use; training of models where such use infringes third‑party rights or applicable laws.
8.3 You are responsible for ensuring your use of outputs complies with applicable laws and third‑party rights (including copyright, publicity, and trademark).
8.4 Where a commercial licence tier is offered on a product page, that tier’s specific terms prevail to the extent of any conflict with this clause.

9. Token Packs: Credits, Fair Use, and Expiry

9.1 Tokens represent usage credits for the image‑generation module and are consumed per action as indicated in the interface.
9.2 Tokens are non‑transferable and have no cash value. They cannot be redeemed for cash or refunds except as provided under these Terms.
9.3 We may implement fair‑use protections to prevent abuse or technical harm. If we detect automated exploitation, we may throttle, suspend, or revoke access.
9.4 If an expiry period is indicated at purchase, unused Tokens will lapse after that period. Otherwise, Tokens do not expire but may be subject to service changes under clause 12.

10. Withdrawal and Refunds for Digital Content

10.1 Digital content is generally not subject to a right of withdrawal once delivery/access begins, as permitted by consumer law for digital content.
10.2 We will provide a refund where: (a) you did not receive access and we cannot resolve the issue within a reasonable time after you contact us; (b) the file is defective/corrupted and a working replacement cannot be provided; (c) there is a duplicate charge; or (d) the Product is materially misdescribed on the product page.
10.3 No refunds are provided for change of mind or incompatibility arising from your environment where minimum requirements are met.
10.4 To request assistance or a refund, email info@neural-pixels.com with order details, a description of the issue, and relevant screenshots or error messages. We typically review requests within 3–5 business days.

11. Acceptable Use

11.1 You must not use the Site or Products to violate laws, infringe intellectual property or privacy rights, harass others, distribute malware, or engage in any harmful or deceptive practices.
11.2 We may suspend or terminate access for breach of these Terms or where necessary to protect users or the service.

12. Service Availability and Changes

12.1 While we strive for continuous availability, the Site and module may be unavailable from time to time for maintenance or due to technical issues.
12.2 We may make changes to features, formats, or availability of Products to improve functionality or comply with legal/technical requirements.

13. Intellectual Property, Notices, and Takedown

13.1 All Site content, branding, and software are owned by us or our licensors and are protected by intellectual property laws.
13.2 If you believe content infringes your rights, please send a detailed notice to info@neural-pixels.com including: (a) identification of the content; (b) basis of the right; (c) your contact details; and (d) a statement of good‑faith belief. We will review and act where appropriate.
13.3 We may remove allegedly infringing material and, where applicable, implement a repeat‑infringer policy.

14. Warranties and Disclaimers

14.1 Except as expressly set out in these Terms, the Site and Products are provided on an “as is” and “as available” basis.
14.2 We do not warrant that outputs will be free from all third‑party claims or suitable for every specific purpose. You should conduct appropriate checks before high‑risk or regulated uses.

15. Limitation of Liability

15.1 Nothing in these Terms excludes or limits liability where it would be unlawful to do so.
15.2 Subject to clause 15.1, we exclude liability for: (a) loss of profit, revenue, business, or goodwill; (b) indirect or consequential loss; and (c) loss arising from events beyond our reasonable control.
15.3 Subject to clause 15.1, our aggregate liability for claims arising out of or in connection with any purchase shall not exceed the amount you paid for the relevant Product.

16. Events Outside Our Control

We are not liable for failure to perform caused by events beyond our reasonable control, provided we take reasonable steps to mitigate impact.

17. Suspension and Termination

We may suspend or terminate access where you breach these Terms or where necessary to protect the Site, other users, or our legitimate interests.

18. Changes to These Terms

We may update these Terms from time to time. Changes will apply to future purchases. Material changes will be highlighted on the Site or by other reasonable means.

19. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. If you are a consumer resident in the UK or EU, you may benefit from mandatory consumer protections in your country of residence. Courts of England and Wales will have non‑exclusive jurisdiction.
